01Who we are, and what these terms cover

theodin.ai is operated by TheOdin Infotech Pvt. Ltd. (“Odin”, “we”, “us”). These terms apply to everyone who visits the website, and they set the general framework for our services. By using the site, you accept them.

When we take on client work, the specifics — scope, deliverables, timelines, fees — live in a separate proposal or statement of work we agree with you. If that document conflicts with these terms, the document you signed wins.

02Using the website

The site is provided for you to learn about our work and get in touch. You agree not to:

• Break or probe it — no attempts to disrupt, overload, or gain unauthorised access to the site or its infrastructure;
• Scrape it at scale — no automated bulk extraction of content or data beyond ordinary search-engine indexing;
• Misrepresent us — no framing, cloning, or passing off our content or brand as your own;
• Abuse the forms — no spam, malware, or unlawful content through our contact or subscription forms.

We may suspend or restrict access to the site at any time to protect it. We aim to keep the site available but do not guarantee uninterrupted access.

03Our services

Odin provides brand, design, web and mobile development, digital marketing, and AI systems services. Descriptions on the site are an invitation to talk, not a binding offer: every engagement is confirmed in writing with its own scope and terms.

Free audits are exactly that — free, and without obligation on either side. An audit does not create a client relationship until we both sign an engagement.

04Quotes, fees, and payment

• Quotes are valid for 30 days unless stated otherwise, and cover only what they describe. Work outside the agreed scope is quoted separately.
• Invoices are payable per the schedule in your engagement. Unless agreed otherwise, amounts are exclusive of applicable taxes (such as GST), which are added at the prevailing rate.
• Late payment may pause work and delivery timelines, and we may charge reasonable interest on overdue amounts where the law allows.

05Your materials and responsibilities

Projects need input: brand assets, content, access, and timely decisions. You are responsible for making sure the materials you give us are accurate and that you have the rights to use and share them. You grant us the licence we need to use those materials to deliver the work. Delays in providing input can shift timelines.

06Intellectual property

• Your deliverables. Unless your engagement says otherwise, ownership of the final deliverables transfers to you on full payment.
• Our toolkit. We keep ownership of our pre-existing materials, know-how, internal tools, and generic components — you get a licence to use them as part of the deliverables.
• Our site and brand.Everything on theodin.ai — copy, imagery, the raven, the rock — belongs to us or our licensors. Don’t reuse it without permission.
• Portfolio.We may reference and showcase completed work (name, visuals, results) in our portfolio and marketing unless your engagement says we can’t.

07Third-party services

Deliverables often rely on third-party services — hosting, domains, fonts, analytics, AI platforms, plugins. Those services have their own terms and fees, which apply to you directly. We choose reputable providers but are not responsible for their availability, pricing changes, or acts and omissions.

08Confidentiality

Each of us will keep the other’s non-public information confidential and use it only for the engagement. This survives the end of a project. For how we handle personal data specifically, see our privacy policy.

09Warranties and disclaimers

We commit to delivering work with professional skill and care. Beyond that, the site and its content are provided “as is”: we make no warranties about completeness, accuracy, or fitness for a particular purpose, and — because markets, search engines, and AI platforms change — we cannot guarantee specific business outcomes such as rankings, traffic, or revenue. Nothing on this site is professional advice for your specific situation until we are engaged to give it.

10Limitation of liability

To the fullest extent the law allows: we are not liable for indirect or consequential losses (lost profits, lost data, loss of goodwill), and our total liability arising out of an engagement is capped at the fees you paid us for that engagement in the twelve months before the claim. Nothing in these terms limits liability that cannot be limited by law (such as for fraud).

11Ending an engagement

Either side can end an engagement as set out in its own terms — or, where none are stated, with reasonable written notice. You pay for work done and non-cancellable commitments made up to the end date; we hand over completed work covered by that payment. Sections that by nature should survive (IP, confidentiality, payment, liability) survive.

12Governing law and disputes

These terms are governed by the laws of India, and the competent courts in India have exclusive jurisdiction — though we’d much rather resolve any disagreement with a conversation first. If part of these terms is found unenforceable, the rest stays in force.

13Changes to these terms

When we update these terms we will post the new version here and revise the “Last updated” date above. Changes apply from posting; material changes to an active engagement will be agreed with you, not imposed.
